Hablexo End-User Licence Agreement

End-User Licence Agreement v1.14-2026-10-06

Version 1.14 — 6 October 2026. This End-User Licence Agreement (“EULA”) is a contract between Hablexo Ltd, a company registered in England & Wales (company no. 17354416), registered office 167-169 Great Portland Street, 5th Floor, London W1W 5PF (“Hablexo”, “we”, “us”), and the business or organisational Customer identified under the Terms (“Customer”, “you”). An individual who installs or uses the Software for the Customer does so as its authorised user and does not become the Customer merely by using the Software. Contact: hello@hablexo.com, telephone +44 20 8191 4194.

The “Software” means Hablexo’s desktop and mobile operator apps, with their updates, documentation, and bundled components. Installing or using it accepts this EULA. A licence requires an eligible business or organisational account under the Terms of Service (the “Terms”), whose eligibility and authority requirements apply; installation or use wholly or mainly for personal, family, or household purposes is prohibited. The Terms govern the service and prevail over this EULA on service matters. The Data Processing Addendum (the “DPA”) governs Hablexo’s processing of event content on your behalf and prevails on data protection; the Privacy Notice covers the personal data Hablexo handles for its own purposes, such as account and billing data.

1. Licence

Subject to your compliance with this EULA and the Terms, Hablexo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and run the Software on devices you own or control, and to use it solely to operate events by or for the Customer through the Hablexo service for permitted professional or organisational purposes. The Software is licensed, not sold. Hablexo and its licensors retain all right, title, and interest in the Software, including all intellectual property rights; you receive only the rights expressly granted here. “Hablexo” and its associated names, logos, and marks are trademarks of Hablexo Ltd; this EULA grants you no right to use them, including to name, brand, or promote any product, distribution, or service.

2. Account required to publish

Operating a live event requires a signed-in Hablexo account credential. A signed-out operator does not publish. Usage is attributed to the account that is signed in. You are responsible for your account and credentials as set out in the Terms, and for the acts of anyone you allow to use the Software under your account. Anyone who signs in for an organisation confirms that they are authorised by that Customer.

3. What you may not do

The restrictions below do not apply where applicable law gives you a right we cannot take away, or where the licence of an included open-source component permits the act (see section 6). Where the law gives you that right only if you have first asked the rights-holder, you must have asked us and we must have declined. Otherwise, you must not:

4. Updates

We may release updates and notify you through the Software. Some are required for compatibility or security. Updates and optional components are delivered by third-party hosting services, which receive your IP address. This EULA governs updates unless an update comes with different terms and you accept them. We need not support older versions.

5. Files the Software stores on your device

The Software stores configuration, credentials (in the operating system’s secret store where one is available), chat history, diagnostic logs, and unsent problem reports on your device, not on Hablexo’s servers. Audio recordings and transcripts are off by default. Some of these files contain other people’s personal data. Section 10 of the DPA sets out the Customer’s role as controller or processor and its duties for chat history, recordings, and transcripts; the Privacy Notice explains how they are handled.

6. Third-party and open-source components

The Software includes third-party and open-source components licensed under their own terms, which govern those components and prevail over this EULA where they require. Nothing in this EULA, including section 3, restricts a right that such a licence grants for the component concerned, including rights to modify, reverse engineer, obtain source code, use, copy, or redistribute it. The list of components and their notices is published at console.hablexo.com/legal/licences.html, available on request from hello@hablexo.com, and included with the Software where a licence requires it.

7. App stores

Where you obtain the mobile operator app from a third-party app store (for example the Apple App Store or Google Play), your download and use are also subject to that store’s terms, and this EULA applies only to the extent it is consistent with them. For the Apple App Store:

Google Play’s own terms apply to the Android app.

8. No warranty

To the fullest extent permitted by law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement. Captions and translations are produced by machine transcription and machine translation and can be wrong; you are responsible for deciding whether the Software is suitable for your event and for any human review where accuracy is critical. The ability to use a live human translator for a language, through the service, is provided expressly for this purpose. We do not warrant that the Software will be uninterrupted or error-free.

9. Liability

Your use of the Software forms part of your use of the service, and Hablexo’s liability in connection with the Software is subject to the same limitations and exclusions as in the Terms, to the fullest extent permitted by law. Nothing in this EULA excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

10. Term and termination

This licence runs while you have a Hablexo account and comply with this EULA. It terminates automatically if you breach it, and it ends when your account is closed or the Terms terminate. On termination you must stop using and remove all copies of the Software. Personal data is handled as set out in the DPA and the Privacy Notice. Sections 1 (ownership), 3, 5, 8, 9, and 11 survive termination.

11. General

The entire-agreement, assignment, severability, governing-law, and jurisdiction provisions of section 13 of the Terms apply to the Software and this EULA. We may update this EULA; material changes take effect on reasonable notice, by email, in the Software, or with an update, and continued use after the effective date is acceptance. Each version is dated and numbered.
